Terms & Conditions

Effective Date: January 1, 2026

By engaging Film.Cen.Tric for any services, you agree to be bound by the following Terms & Conditions. These terms constitute a legally binding agreement between you ("Client") and Film.Cen.Tric ("Company"). By booking, registering, or making payment for our services, you acknowledge that you have read, understood, and agree to these terms.

1. Scope of Services

Film.Cen.Tric provides services including but not limited to:

  • Film exhibition events, screenings, and panel discussions
  • Filmmaker residencies and workshops
  • Educational programming and community engagement
  • Audience and ticket-holder communications
  • Filmmaker submission review and curation

Specific deliverables, timelines, and pricing for each engagement will be outlined in a separate proposal, contract, or enrollment agreement agreed upon by both parties prior to commencement.

2. Payment Terms

2.1 Invoicing & Deposits

Tickets, submissions, residency fees, and program payments are due as specified at the time of registration or submission. Specific terms for any sponsorship, partnership, or paid engagement will be set out in a separate agreement.

2.2 Late Payments

Invoices unpaid beyond 14 days of the due date may incur a late fee of 1.5% per month on the outstanding balance. We reserve the right to pause or withhold delivery of services until outstanding balances are settled.

2.3 Cancellations

Tickets are generally non-refundable but may be transferable; please refer to the policy stated at the point of sale. Cancelled or postponed events will be communicated by email and rescheduled or refunded at our discretion. Submission fees, where charged, are non-refundable.

3. Programming & Content

Programming is curated at our sole discretion. We make no guarantee that any particular filmmaker, film, or speaker will appear at any given event. Substitutions and schedule changes may occur.

4. Filmmaker Submissions & Featured Work

Filmmakers retain all rights to their submitted work. By submitting work to us or participating in a program, you grant us a limited, non-exclusive license to use stills, clips, and promotional materials for marketing, programming, and archival purposes related to our events. Detailed terms are set out in the submission or program agreement, where applicable.

5. Third-Party Materials

Filmmakers and presenters are responsible for obtaining all necessary rights, licenses, and permissions for music, footage, and other third-party materials in their submitted or presented work. We are not liable for copyright infringement arising from filmmaker- or presenter-provided materials.

6. Client Responsibilities

The Client agrees to:

  • Provide accurate and complete information necessary to complete the services
  • Provide timely feedback, approvals, and access within agreed-upon timelines
  • Ensure all necessary permissions are obtained for any work to be performed at the property or location
  • Communicate any changes to scope in writing prior to additional work commencing

Delays caused by the Client's failure to fulfill these responsibilities may result in revised timelines and additional fees.

7. Programming Changes

We reserve the right to update event schedules, lineups, and programming as needed. Material changes will be communicated through our website and ticket-holder email where reasonably possible.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the agreement. We will not disclose Client information to third parties without prior written consent, except as required by law.

9. Limitation of Liability

Our total liability for any claim shall not exceed the total fees paid by the Client for the specific engagement giving rise to the claim. Film.Cen.Tric is not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of revenue, profits, or business opportunities
  • Equipment failure by third parties or circumstances beyond our control
  • Performance, results, or outcomes on any platform, channel, or market

10. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If resolution cannot be reached within 30 days, disputes will be submitted to binding arbitration in Broward County, Florida, in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorney's fees and costs.

11. Governing Law

These Terms & Conditions are governed by the laws of the State of Florida, without regard to its conflict of law provisions.

12. Modifications to Terms

Film.Cen.Tric reserves the right to update these Terms & Conditions at any time. Material changes will be communicated via email or posting on our website. Continued engagement with our services following notification constitutes acceptance of the revised terms.

13. Entire Agreement

These Terms & Conditions, together with any applicable proposal, contract, or enrollment agreement, constitute the entire agreement between the parties and supersede all prior discussions, representations, and agreements.
